1. Le presenti Condizioni di utilizzo del sito (di seguito: le “Condizioni di utilizzo”) disciplinano l’utilizzo del sito web www.ushare.marketing.
2. Il presente sito, di cui la società USHARE LLC è titolare (di seguito: “USHARE”) ha la funzione di presentare la società, la Community Ushare, i prodotti e i servizi distribuiti, e consentire l’eventuale registrazione gratuita.
3. Legga attentamente le seguenti condizioni di utilizzo prima di accedere al sito Ushare. L’utilizzo di questo sito è consentito solo in forza di tali condizioni e l’uso costituisce l’accettazione delle stesse. Nel caso in cui l’utente non intenda accettare le presenti condizioni, si astenga dal navigare sulle pagine del presente sito.
Account
1. Per procedere con l’eventuale registrazione e creare l’Account personale -gratuito- al sito web www.ushare.marketing, l’utente è tenuto a seguire la procedura indicata nel predetto sito, inserire i propri dati personali richiesti, oltre ad un indirizzo e-mail e ad una password.
2. E’ vietato all’Utente l’inserimento di dati personali di terze persone, di dati falsi, inventati, e/o di fantasia. L’utente dichiara e garantisce, a tale riguardo, che i dati forniti a USHARE durante la procedura di registrazione al sito e di creazione dell’Account, od in qualsiasi altro momento e/o occasione del suo rapporto con USHARE , sono completi, veritieri e riferiti all’Utente medesimo, e si impegna a tenere USHARE indenne e manlevata da qualsiasi danno, obbligo risarcitorio e/o sanzione derivante da, e/o in qualsiasi modo collegata alla, violazione da parte dell’utente della garanzia di cui al presente Art.2.2. e/o alla violazione delle regole sulla registrazione al Sito e/o sulla conservazione delle credenziali di registrazione e creazione dell’Account. L’utente è tenuto a comunicare al servizio di assistenza dedicato (usharesupport.com) di USHARE la richiesta di modifica dei dati originariamente inseriti, indicando il motivo della richiesta ed allegando i documenti che comprovino la modifica stessa.
3. Ciascun Utente può usufruire di una sola registrazione al sito. E’ pertanto, vietato all’utente creare più account riferibili alla stessa persona, anche mediante l’utilizzo di dati corrispondenti al vero. Nel caso di violazione di tale divieto, USHARE si riserva la facoltà di chiudere tutti gli account riferibili alla stessa persona. L’utente si impegna a tenere USHARE indenne e manlevata da qualsiasi danno, obbligo risarcitorio, esborso e/o sanzione derivante da, e/o in qualsiasi modo collegata, alla violazione da parte dell’Utente del divieto di cui al presente Art.2.3.
4. USHARE si riserva il diritto di rifiutare la registrazione al sito Web (e, quindi, la creazione dell’Account) da parte di un Utente: (i) che abbia in precedenza violato le presenti Condizioni di Utilizzo; (ii) che sia stato coinvolto in frodi di qualsiasi tipo, e, in particolare, in frodi relative a pagamenti con carta di credito; (iii) che abbia rilasciato e/o comunicato dati identificativi falsi, inventati, di fantasia, incompleti o comunque inesatti e/o in qualsiasi modo non corrispondenti al vero o riferiti a terze persone
5. Le credenziali di accesso all’Account (indirizzo e-mail e password) devono essere conservate con la massima cura ed attenzione dall’utente. Esse, inoltre, in quanto strettamente personali, possono essere utilizzate soltanto dall’utente e non possono essere cedute a terzi. L’utente si impegna a mantenerle segrete e ad assicurarsi che nessun terzo vi abbia accesso. L’utente si impegna, inoltre, ad informare immediatamente USHARE nel caso in cui sospetti o venga a conoscenza di un uso indebito delle credenziali, o di una indebita divulgazione stesse.
6. La registrazione consente all’utente di effettuare, tramite l’Account, le seguenti ulteriori attività: -verificare lo stato degli eventuali ordini di acquisto e visualizzare l’archivio degli ordini in precedenza effettuati; -modificare la propria password di accesso; -usufruire dei servizi dedicati che possono essere eventualmente attivati (e messi a disposizione) da USHARE nel tempo.
Obblighi di USHARE. Assistenza
1. USHARE si impegna a mettere a disposizione dell’Utente l’Account, nonché a tenere aggiornata la propria piattaforma tecnologica, assicurando standard di sicurezza adeguati tenuto conto dello stato dell’arte e della tecnologia di volta in volta disponibili.
2. USHARE mette a disposizione dell’Utente un servizio di assistenza volto a supportare il medesimo, disponibile accedendo al sito www.usharesupport.com e compilando l’apposito modulo (“Contact Us”). E’ esclusa ogni forma di assistenza all’Utente circa eventuali problematiche di programmazione e/o di gestione non direttamente collegate a funzionalità dei Servizi USHARE , ovvero collegate al funzionamento dei dispositivi dell’Utente.
Limitazioni di responsabilità.
1. USHARE dichiara e garantisce che la piattaforma tecnologica alla base del funzionamento dell’Account non è affetta da vizi che escludono e/o diminuiscono in maniera significativa l’utilizzo dell’Account rispetto alla relativa descrizione resa da USHARE .
2. Salvo quanto previsto dall’Art.4.1. che precede, e fermi restando i limiti inderogabili di legge, USHARE non garantisce che l’Account funzioni senza interruzioni e/o sospensioni dovute a problematiche di natura tecnica.
3. Fatti salvi i limiti inderogabili di legge, USHARE non è responsabile per i danni di qualsiasi genere e/o natura che possano derivare all’Utente in conseguenza dell’utilizzo dell’Account, salvo che gli stessi non siano dovuti a malfunzionamenti della piattaforma tecnologica anzidetta e dei quali sia responsabile quest’ultima.
4. USHARE non è responsabile per qualsivoglia eventuale accesso non autorizzato da parte di terzi all’Account effettuato utilizzando le credenziali dell’Utente.
5. Sui servizi forniti da soggetti diversi da USHARE , quest’ultima non presta alcuna garanzia e non fornisce, conseguentemente, alcuna assistenza ai sensi dell’Art.3 che precede. Inoltre, le limitazioni di responsabilità di cui agli Art. 4.2., 4.3. e 4.4. che precedono in capo a USHARE , sono applicabili anche con riguardo agli anzidetti servizi.
Diritti di proprietà intellettuale.
1. I diritti di proprietà intellettuale dei quali sia titolare USHARE o di terzi (incluse società controllate da e/o controllanti di USHARE , ovvero altre società facenti parte del medesimo Gruppo societario al quale appartiene USHARE ) sull’interfaccia di funzionamento, sui loghi, sui marchi e su qualsivoglia segno distintivo di USHARE o di terzi (di seguito: “Proprietà Intellettuale”), restano di esclusiva titolarità di SPM e/o di terzi (incluse società controllate da e/o controllanti di USHARE , ovvero altre società facenti parte del medesimo Gruppo societario al quale appartiene USHARE ) che ne sono proprietari.
2. L’Utente riconosce ed accetta che tutti i diritti di sfruttamento della Proprietà Intellettuale economico rimangono di titolarità di USHARE .
3. E’ fatto divieto all’Utente di:
Sospensione e/o interruzione dei Servizi USHARE. Chiusura dell’Account da parte di USHARE.
1. L’Utente prende atto ed accetta che l’accesso all’Account e/o al sito Web www.ushare.marketing, potranno essere oggetto di sospensione od interruzione, in tutto o in parte, per cause che esulano da qualsivoglia controllo da parte di USHARE, quali, a titolo esemplificativo e non esaustivo, rallentamento, congestione e/o sovraccarico del sistema, della rete di accesso a Internet, delle linee telefoniche e degli elaboratori che gestiscono il traffico telematico, manomissione o interventi illeciti ad opera di terzi su servizi o apparecchiature utilizzate dall’Account e/o dal sito Web www.ushare.marketing, eventi straordinari, nonché caso fortuito ovvero forza maggiore, per tali ultimi intendendosi eventi non prevedibili dovuti a cause naturali (quali sisma, alluvione, frana, maremoto, ed eventi naturali per i quali sia stato dichiarato dall’autorità competente lo stato di emergenza o di calamità naturale), atti e provvedimenti governativi, incendi anche nel data center, esplosioni, tumulti, embarghi, sabotaggio, atti terroristici, atti e provvedimenti di autorità civili o militari, scioperi ed interruzioni di energia elettrica.
2. L’accesso all’Account e/o al sito Web www.ushare.marketing, potranno subire, altresì, sospensioni totali o parziali al fine di garantire gli interventi di manutenzione ai sensi dell’Art.7. che segue, ovvero al fine di porre rimedio a guasti, vizi, difetti, malfunzionamenti a uno o più elementi dell’infrastruttura, nonché in caso di emergenze o minacce relative alla sicurezza informatica. In tali ipotesi, la sospensione avverrà, anche in mancanza di preavviso all’Utente, a discrezione di USHARE, la quale avrà cura di ripristinare la funzionalità del sito Web www.ushare.marketing, e/o l’accesso all’Account, nel minor tempo possibile, e senza che ciò comporti alcuna responsabilità a proprio carico, né che all’Utente sia dovuto alcunché a qualunque titolo.
3. USHARE si riserva il diritto di chiudere l’Account laddove l’Account e/o il sito Web www.ushare.marketing, siano stati -in tutto od in parte- utilizzati da terzi non autorizzati, ovvero utilizzati dall’Utente in violazione delle presenti Condizioni di utilizzo, ovvero ancora in violazione delle vigenti disposizioni di legge e regolamentari; il tutto, fermo restando il diritto di USHARE di agire nei confronti dell’Utente per la tutela dei propri diritti ed il risarcimento di ogni danno eventualmente sofferto.
4. Fatta eccezione per le ipotesi in cui USHARE ritenga necessaria la chiusura immediata dell’Account, l’ Utente verrà informato di tale chiusura, con un preavviso di 3 (tre) giorni, con comunicazione scritta.
Manutenzione.

Manutenzione

in manutenzione evolutiva, che comprende gli interventi effettuati e decisi in autonomia da USHARE, al fine di migliorarne il funzionamento e l’utilizzabilità, aggiungere nuove funzioni e caratteristiche, adeguarlo all’evoluzione normativa e al contesto di riferimento (update);

in entrambi i casi, con le modalità che USHARE riterrà di volta in volta più opportune, incluso il rilascio di aggiornamenti, ovvero di nuove versioni che andranno a sostituire quella precedente. La fruizione e l’accesso all’Account e/o al sito Web www.ushare.marketing da parte dell’Utente, saranno sospesi per tutta la durata della Manutenzione.

Chiusura dell’Account da parte dell’Utente.
1. L’Utente potrà chiudere in qualsiasi momento il proprio Account, dandone comunicazione scritta a USHARE accedendo al sito www.usharesupport.com e compilando l’apposito modulo (“Contact Us”).
2. La chiusura dell’Account avrà effetto decorsi 5 (cinque) giorni dalla relativa comunicazione al fine di consentire a USHARE di porre in essere i necessari interventi tecnici per la chiusura anzidetta.

1. These Terms of Use (hereinafter: the “Terms of Use”) govern the use of the website www.ushare.marketing.
2. This site, owned by USHARE LLC (hereinafter: “USHARE”), serves the purpose of presenting the company, the Ushare Community, the distributed products and services, and enabling potential free registration.
3. Please carefully read the following terms of use before accessing the Ushare website. Use of this site is only permitted under these conditions, and use constitutes acceptance of them. If the user does not intend to accept these conditions, please refrain from browsing the pages of this site.
Account
1. To proceed with registration and create a personal account – free of charge – on the website www.ushare.marketing, the user must follow the procedure outlined on the site, providing the requested personal data, along with an email address and password.
2. The User is prohibited from entering the personal data of third parties, as well as from providing false, invented, and/or imaginary information. By registering on the site and creating an account, the user declares and warrants that the data provided to USHARE during the registration process, or at any other time in their relationship with USHARE, are accurate, complete, and refer solely to themselves. The user agrees to hold USHARE harmless and indemnified from any damages, compensation obligations, and/or sanctions arising from, or in connection with, breach by the user of the warranty set forth in the Section 2.2, and/or violation of the rules on the Site registration and/or the safekeeping of registration and Account creation credentials. If the user needs to modify the data originally entered, they must contact USHARE’s dedicated assistance service (usharesupport.com), providing a reason for the request and attaching documents verifying the requested modifications.
3. Each user may benefit from only one registration on the site. Therefore, it is forbidden for the user to create multiple accounts referring to the same person, even when using truthful data. In the event of a violation of this prohibition, USHARE reserves the right to close all accounts associated with the same individual. The user agrees to hold USHARE harmless and indemnified from any damages, compensation obligations, disbursements, and/or sanctions arising from, or in any way connected to, the user’s violation of this provision stated in Art.2.3.
4. retains the right to refuse registration on the website (and thus the creation of an account) to any user who: (i) has previously violated these Conditions of Use; (ii) has been involved in any form of fraud, particularly related to credit card payments; (iii) has released and/or provided false, invented, imaginary, incomplete, or otherwise inaccurate identifying data, and/or data referring to third parties.
5. The access credentials to the Account (email address and password) must be securely kept with the utmost care and attention by the user. As they are strictly personal, they can only be used by the user and cannot be transferred to third parties. The user agrees to keep their credentials confidential and ensure that no third party gains access to them. The user also agrees to immediately inform USHARE if they suspect or become aware of any improper use or disclosure of their credentials.

Registration grants users access to the following additional activities via their account: – Check the status of any purchase orders and view the archive of previously placed orders; – Change the login password; – Take advantage of dedicated services that may be activated (and made available) by USHARE over time.
Obligations of USHARE. Assistance
1. USHARE commits to providing the User with access to the Account and to maintaining its technological platform updated, ensuring adequate security standards in accordance with the state of the art and available technology.
2. USHARE offers the User an assistance service intended to provide support, which is accessible by visiting the website www.usharesupport.com and completing the appropriate form (“Contact Us”). Any form of assistance provided to the User concerning programming and/or management issues not directly related to the functionality of the USHARE Services, or related to the operation of the User’s devices, is excluded.
Limitations of Liability
1. USHARE declares and warrants that the technological platform underlying the functioning of the Account is free from defects that would exclude and/or significantly reduce its usability compared to the relevant description provided by USHARE.
2. Except as provided in Art.4.1. above, and without prejudice to the mandatory limits of the law, USHARE does not guarantee uninterrupted or error-free operation of the Account due to technical problems.
3. Without prejudice to the mandatory limits of the law, USHARE shall not be liable for damages of any kind or nature arising to the User from the use of the Account, unless such damages result from malfunctions of the aforementioned technological platform for which SPM is responsible.
4. USHARE shall not be liable for any unauthorized access to the Account made by third parties using the User’s credentials.
5. For services provided by parties other than USHARE, USHARE does not offer any warranties and consequently does not provide assistance as outlined in Article 3 above. Additionally, the limitations of liability outlined in Articles 4.2., 4.3., and 4.4. above, pertaining to USHARE, shall also apply to the aforementioned services.
Intellectual Property Rights
1. The intellectual property rights owned by USHARE or third parties (including companies controlled by and/or parent companies of USHARE, or other companies that are part of the same Corporate Group to which USHARE belongs) to the operating interface, logos, trademarks, and any other distinctive signs of USHARE or third parties (hereinafter referred to as “Intellectual Property”), are and shall remain the exclusive property of USHARE and/or the respective third-party owners (including companies controlled by and/or parent companies of USHARE, or other companies that are part of the same Corporate Group to which USHARE belongs).
2. The User acknowledges and agrees that all economic exploitation rights related to the Intellectual Property remain vested in USHARE.

Suspension and/or Interruption of the USHARE Services. Closure of the Account by USHARE
1. The User acknowledges and accepts that access to the Account and/or the website www.ushare.marketing may be subject to suspension or interruption, either wholly or partially, due to reasons beyond the control of USHARE. These reasons may include, but are not limited to, slowdowns, congestion and/or overloading of the system, Internet access network, telephone lines and processors handling telematic traffic, tampering or illicit interventions by third parties on services or equipment used by the Account and/or the website www.ushare.marketing, extraordinary events, as well as unforeseen circumstances or force majeure events. Force majeure events refer to natural disasters (such as earthquakes, floods, landslides, tsunamis, and events for which a state of emergency or natural disaster has been declared by the competent authority), government actions and measures, fires (including those in the data center), explosions, riots, embargoes, sabotage, terrorist acts, acts and measures of civil or military authorities, strikes, and power outages.
2. Access to the Account and/or the website www.ushare.marketing may also be subject to total or partial suspensions for maintenance interventions as outlined in Article 7 below, or to address faults, defects, malfunctions of one or more infrastructure elements, or in the event of emergencies or threats relating to IT security. In such cases, suspension may occur at the discretion of SPM, without prior notice to the User. USHARE will endeavor to restore the functionality of the website www.ushare.marketing and/or access to the Account as soon as possible. This shall not entail any liability on the part of USHARE, nor shall the User be entitled to any compensation for any reason.
3. USHARE reserves the right to close the Account if the Account and/or the website www.ushare.marketing, have been, – in whole or in part – used by unauthorized third parties, or if the User has violated these Conditions of Use, or if there has been a violation of current laws and regulations. This action may be taken without prejudice to USHARE’s right to take legal action against the User to protect its rights and seek compensation for any damages incurred.
4. Except in cases where immediate closure of the Account is deemed necessary by USHARE, the User will be notified of such closure with a written notice given 3 (three) days in advance.
Maintenance.
1. USHARE retains the right to conduct maintenance work (hereinafter referred to as “Maintenance”) on the systems and technology platforms. Maintenance may include:

  In either case, Maintenance will be conducted in a manner determined by USHARE, including the release of updates or new versions to replace the previous ones. The User’s access to and use of the Account and/or the website www.ushare.marketing will be suspended for the duration of the Maintenance.
Closure of the Account by the User
1. The User has the right to close their Account at any time by providing written notice to USHARE. This notice can be given by accessing the website www.usharesupport.com and completing the appropriate form (“Contact Us”).
2. The closure of the Account will be effective 5 (five) days after the relevant communication to allow USHARE to implement the necessary technical interventions for the closure.
